On April 16, 2026, Innovative Solutions and Support, Inc. (the “Company”)

held its annual meeting of shareholders (the “Annual Meeting”).

Present at the Annual Meeting in person or by proxy were holders of

14,239,180 shares of common stock of the Company, representing 80% of the shares of common stock of the Company issued and outstanding

and entitled to vote as of the close of business on January 26, 2026, the record date for the Annual Meeting, and constituting a quorum

for the transaction of business.
