Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 11, 2026, Regions Financial Corporation (the “Company”) announced that David R. Keenan, the Company’s Chief Administrative Officer, has provided notice of his intent to retire from the Company on January 4, 2027. As of September 1, 2026, Mr. Keenan will step down as Chief Administrative Officer but will continue to serve as Senior Executive Vice President of the Company in a senior advisor role through his retirement date.

In connection with Mr. Keenan’s retirement, the Company also announced that, effective September 1, 2026, it has appointed Katherine R. Danella to serve as Senior Executive Vice President, Chief Administrative Officer of the Company, and John T. Jordan to serve as Senior Executive Vice President, Head of Consumer Banking Group of the Company.

Item 7.01 Regulation FD Disclosure.

On August 11, 2026, the Company issued a press release announcing Mr. Keenan’s planned retirement from the Company and related organizational changes. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
