The complaint alleges that throughout the Class Period Tigo Energy materially misled investors as to the status of the EG4 partnership (announced prior to the Class Period on August 25, 2025), claiming it was on pace to earn significant income from sales made throughout the partnership in 2026. In reality, according to the complaint, the execution of the partnership had been delayed.

The truth was allegedly revealed on August 4, 2026, after market, when the Company revised its full-year 2026 guidance downward reducing it from $130-$135 million to $100-$110 million, citing major delays in the execution of the partnership. On this news, Tigo Energy's stock price fell $0.75, approximately 37%, to close at $1.29 per share on August 5, 2026.
