(d) On July 16, 2026, the Boards of Directors of Peoples Bancorp of North Carolina, Inc. (the “Company”) and its wholly-owned subsidiary, Peoples Bank (the “Bank”) elected Michael B. Hollar to the Boards of Directors of the Company and the Bank.
There are no arrangements or understandings between Mr. Hollar and any other person pursuant to which Mr. Hollar was appointed to serve on the Boards of Directors. There are no family relationships between Mr. Hollar and any other director or executive officer of the Company, and there have been no transactions between Mr. Hollar and the Company in the last fiscal year, and none are currently proposed that would require disclosure under Item 404(a) of Regulation S-K.
Mr. Hollar has not been appointed to any committees of the Company or Bank Board of Directors at this time.
