8.01 Other Events.

As

previously disclosed by Curanex Pharmaceuticals Inc (the “Company”), on November 5, 2025, the Company was notified by the

Listing Qualifications Department of The Nasdaq Stock Market LLC (the “Nasdaq Staff”) that the Company failed to maintain

a minimum bid price of $1.00 over the previous 30 consecutive business days as required by Nasdaq Listing Rule 5550(a)(2) for continued

listing on The Nasdaq Capital Market. On August 20, 2026, the Company effected a 1-for-20 reverse stock split of its outstanding shares

of common stock for the purpose of regaining compliance with the Nasdaq Listing Rule 5550(a)(2).

On

September 3, 2026, the Nasdaq Staff notified the Company that it has determined that for the last 10 consecutive business days, from

August 20, 2026 to September 2, 2026, the closing bid price of the Company’s common stock has been at $1.00 per share or greater.

Accordingly, the Company has regained compliance with Listing Rule 5550(a)(2), and this matter is now closed.
