Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 20, 2026, the Board of Directors (the “Board”) of Northern Trust Corporation (the “Corporation”) appointed Rima Qureshi as a director of the Corporation. Ms. Qureshi was also appointed as a director of The Northern Trust Company, the Corporation’s principal subsidiary, on such date.
The Corporation’s Board appointed Ms. Qureshi to the Risk Committee and the Technology and Operations Committee of the Board, effective October 20, 2026.
As a member of the Corporation’s Board, Ms. Qureshi will participate in the Corporation’s Non-Employee Director Compensation Plan and be eligible to participate in the Corporation’s 2018 Deferred Compensation Plan for Non-Employee Directors, each of which is described in the Corporation’s most recent proxy statement. Ms. Qureshi will be granted equity awards as a portion of her compensation for service through the Corporation’s 2027 Annual Meeting of Stockholders in an amount consistent with the awards granted annually to non-employee directors, prorated to account for the effective date of her appointment, pursuant to the Corporation’s Non-Employee Director Compensation Plan.

On October 20, 2026, the Corporation issued a press release regarding Ms. Qureshi’s appointment. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Throughout her career, she has helped organizations navigate industry disruption, evaluate and execute major strategic initiatives, pursue new growth opportunities and strengthen their competitive position across markets. At Verizon, which Qureshi joined in 2017, she helped set the company’s strategic direction amid significant industry change. Prior to Verizon, Qureshi spent 23 years at global telecommunications company Ericsson, where she served as chief strategy officer and, later, chief executive officer of Ericsson North America. Qureshi also brings more than 15 years of public company board experience across telecommunications, retail and financial services, including 15 years on the board of Mastercard Incorporated.
