Forward-Looking Statements

This Current Report on Form 8-K and the exhibit

hereto include certain statements that are not historical facts but are forward-looking statements for purposes of the safe harbor provisions

under the United States Private Securities Litigation Reform Act of 1995. Forward-looking statements generally are accompanied by words

such as “believe,” “may,” “will,” “estimate,” “continue,” “anticipate,”

“intend,” “expect,” “should,” “would,” “plan,” “project,” “forecast,”

“predict,” “potential,” “seem,” “seek,” “future,” “outlook,” and

similar expressions that predict or indicate future events or trends or that are not statements of historical matters, but the absence

of these words does not mean that a statement is not forward looking. These forward-looking statements include, but are not limited to,

(1) statements regarding the Company’s ability to satisfy the conditions of the Panel’s decision and to regain and maintain

compliance with Nasdaq listing requirements; (2) statements regarding the proposed business combination with Tensor Networks, the related

financing, and the timing and likelihood of their completion; (3) the occurrence of any event, change or other circumstances that could

give rise to the termination of the negotiations, inability to enter into any subsequent definitive agreements with respect to the proposed

business combination, or to consummate the proposed business combination; (4) the outcome of any legal proceedings that may be instituted

against the parties following the announcement of the proposed business combination and any definitive agreements with respect thereto;

(5) the inability to complete the proposed business combination with Tensor Networks, including due to failure to obtain approval of the

shareholders of RAIN and Tensor Networks or other conditions to closing; (6) the risk that the proposed business combination disrupts

current plans and operations as a result of the announcement and consummation of the proposed business combination; (7) the ability to

recognize the anticipated benefits of the proposed business combination, which may be affected by, among other things, competition, the

ability of the combined company to grow and manage growth profitably and retain its key employees; (8) costs related to the proposed business

combination; (9) changes in applicable laws or regulations; (10) volatility in RAIN’s stock price following the announcement of

the proposed business combination; (11) references with respect to the anticipated benefits of the Company’s WETA platform and technology;

(12) references to the market opportunity for rain enhancement technologies and products; (13) the projected technological developments

of RET; (14) current and future potential commercial and customer relationships; and (15) other risks and uncertainties included in RAIN’s

Annual Report and in the documents filed or to be filed with the SEC by RAIN and Tensor Networks. These statements are based on various

assumptions, whether or not identified in this Current Report on Form 8-K and the exhibit hereto, and on the current expectations of the

Company’s management and are not predictions of actual performance. These forward-looking statements are provided for illustrative

purposes only and are not intended to serve as, and must not be relied on by any investor as, a guarantee, an assurance, a prediction

or a definitive statement of fact or probability. Actual events and circumstances are difficult or impossible to predict and will differ

from assumptions. Many actual events and circumstances are beyond the control of the Company. These forward-looking statements are subject

to a number of risks and uncertainties, including the inability to raise additional capital to fund the proposed business combination

with Tensor Networks, as well as those set forth in the section entitled “Risk Factors” in the Company’s annual report

on Form 10-K for the year ended December 31, 2025, filed with the SEC on April 15, 2026, as amended from time to time. If any of these

risks materialize or our assumptions prove incorrect, actual results could differ materially from the results implied by these forward-looking

statements. The risks and uncertainties above are not exhaustive, and there may be additional risks that the Company does not presently

know or that the Company currently believes are immaterial that could also cause actual results to differ from those contained in the

forward-looking statements. In addition, forward looking statements reflect the Company’s expectations, plans or forecasts of future

events and views as of the date of this Current Report on Form 8-K. The Company anticipates that subsequent events and developments will

cause the Company’s assessments to change. However, while the Company may elect to update these forward-looking statements at some

point in the future, the Company specifically disclaims any obligation to do so. These forward-looking statements should not be relied

upon as representing the Company’s assessments as of any date subsequent to the date of this Current Report on Form 8-K. Accordingly,
