As

previously reported on the Current Report on Form 8-K filed by TruGolf Holdings, Inc. (the “Company”) on October 9, 2026

(the “Initial Form 8-K”), David Hackett was appointed to the Board of Directors (“Board”) of the Company, effective

October 8, 2025. At the time of the filing of the Initial Form 8-K, the Board had not yet determined Mr. Hackett’s committee assignments.

This amendment to the Initial Form 8-K is being filed to report that, on October 22, 2026, the Board assigned Mr. Hackett to the Audit

Committee and Compensation Committee. The Company’s Audit Committee is composed of David Hackett, AJ Redmer and Riley Russell.

The Company’s Compensation Committee is composed of AJ Redmer, David Hackett and Riley Russell. The Company’s Governance

and Nominating Committee is composed of Riley Russell, Jay Heller and AJ Redmer.
