Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing
On July 28, 2026, DocGo Inc. (the “Company”) received a letter from the Nasdaq Listing Qualifications Department (the “Staff”) of the Nasdaq Stock Market LLC (“Nasdaq”) informing the Company that Nasdaq has granted the Company an additional 180 calendar days, or until January 25, 2027, to regain compliance with the minimum bid price requirement under Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Requirement”).
If at any time before January 25, 2027, the closing bid price of the Company’s common stock, par value $0.0001 per share (the “Common Stock”), is at least $1.00 per share for a minimum of 10 consecutive business days, the Staff will provide written confirmation that the Company has achieved compliance with the Minimum Bid Requirement.
While there can be no assurance that the Company will regain compliance with the Minimum Bid Requirement prior to January 25, 2027, or maintain compliance with the other Nasdaq listing requirements, the Company intends to actively monitor the closing bid price of the Common Stock and will evaluate available options to regain compliance with the Minimum Bid Requirement, including initiating a reverse stock split. At the Company’s 2026 Annual Meeting of Stockholders held on June 16, 2026, the Company’s stockholders approved an amendment to the Company’s Second Amended and Restated Certificate of Incorporation to effect a reverse stock split at a ratio of 1-for-5, 1-for-6, 1-for-7, 1-for-8, 1-for-9 or 1-for-10, to be determined in the sole discretion of the Company’s Board of Directors.
