Item 8.01 Other Events.
As previously disclosed, on September 27, 2026, Lifecore Biomedical, Inc. (the “Company”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Lifecore Inc. and Hazel Merger Sub, Inc.
On October 16, 2026, the Board of Directors (the “Board”) of the Company established November 4, 2026, as the record date for a special meeting of stockholders of the Company (the “Special Meeting”) to approve, among other things, the adoption of the Merger Agreement and the approval of the merger contemplated thereby. Stockholders of record of the Company as of the close of business on the record date will be entitled to notice of, and to vote at, the Special Meeting.
Additional Information and Where to Find It
In accordance with the Merger Agreement, the Company will file a preliminary proxy statement with the Securities and Exchange Commission (“SEC”) in connection with the Special Meeting. The Company also intends to file a definitive proxy statement with the SEC for the Special Meeting.
