2026 by and between Twist Bioscience Corporation (the “Company”) and Invenra Inc. (“Invenra”), the Company is

filing a prospectus supplement to register the resale of shares issuable pursuant to that certain Stock Purchase Agreement dated February 11,

2026 by and between the Company and Invenra. An opinion of Orrick, Herrington & Sutcliffe LLP is filed as Exhibit 5.1 to

this Current Report in connection with the registration of the resale of the shares.
