Item 5.07. Submission of Matters to a Vote of Security Holders.

On March 24, 2026, Construction Partners, Inc. (the “Company”) held its annual meeting of stockholders (the “Annual Meeting”). Holders of shares of Class A and Class B common stock representing a total of 129,770,507 votes were present or represented by proxy at the Annual Meeting, representing 97.2% of the Company’s total voting power as of the January 23, 2026 record date for the Annual Meeting. The final results of voting on each of the matters submitted to a vote of the stockholders at the Annual Meeting are as follows:

As a result of the foregoing votes, the Company’s stockholders (i) reelected Messrs. Jennings and Matteson as Class II directors of the Company, each for a term set to expire at the 2029 annual meeting of the Company’s stockholders, and (ii) ratified the appointment of RSM US LLP as the Company’s independent registered public accounting firm for the fiscal year ending September 30, 2026.

Item 7.01. Regulation FD Disclosure.

On March 27, 2026, the Company announced the dual listing of its Class A common stock on Nasdaq Texas, LLC (“Nasdaq Texas”). The Company will maintain its primary listing on The Nasdaq Global Select Market and will commence trading on Nasdaq Texas on March 30, 2026, under the same ticker symbol, “ROAD.”
