the Annual Meeting of Stockholders of Network-1 Technologies, Inc. (the “Company”) held on September 16, 2026, the stockholders

of the Company entitled to vote at the meeting voted to (i) elect the four individuals named below to serve as directors of the Company

to hold office until the next Annual Meeting of Stockholders and until their successors have been duly elected and qualified, (ii) approve,

by non-binding advisory vote, the Company’s named executive officer compensation (known as “Say on Pay”); and (iii)
