On May 14, 2026, Certara, Inc. (the “Company”)

held its annual meeting of stockholders. The proposals are described in the Company’s proxy statement for the 2026 Annual Meeting

of Stockholders filed with the Securities and Exchange Commission on April 3, 2026. The final results of the votes regarding each proposal

are set forth below.
