The Commonwealth of The Bahamas Announces Principal Amounts of Five Series of Notes Tendered and Accepted for Purchase

prnewswire.com

NASSAU, Bahamas , Oct. 28, 2026 /PRNewswire/ --The Commonwealth of The Bahamas (the "Government") announced today the aggregate principal amount of each series of the notes listed in the table below (collectively, the "Notes") that has been validly tendered and accepted for purchase pursuant to its previously announced offer to purchase for cash (the "Offer") of the Notes from each registered holder or beneficial owner (each, a "Holder" and, collectively, the "Holders"), subject to the terms and conditions set forth in the offer to purchase dated October 19, 2026 (the "Offer to Purchase"). The Offer expired as scheduled at 5:00 p.m. (New York City time) on October 27, 2026. Capitalized terms not defined in this announcement have the meanings specified in the Offer to Purchase.

The purchase price to be paid per U.S.$1,000 principal amount of each series of Notes that are accepted pursuant to the Offer is indicated in the table below (the "Purchase Price"). The Maximum Purchase Price to be paid by the Government for the outstanding principal amount of each series of Notes validly tendered and accepted for purchase is set forth below.

The following table indicates the aggregate principal amount of each series of Notes that have been validly tendered (and not validly withdrawn) as of the Expiration Time and accepted pursuant to the Offer, subject to satisfaction of the conditions to the Offer on or prior to the Settlement Date.

The proration of tendered Notes was required in relation to the 6.625% Notes due 2033. The Government calculated the relevant proration factor in relation to the 6.625% Notes due 2033 pursuant to the terms of the Offer to Purchase. Therefore, the sum of each Holder's validly tendered 6.625% Notes due 2033 accepted for purchase by the Government was determined by multiplying each Holder's tender of 6.625% Notes due 2033 by the applicable proration factor specified in the table below and making downward adjustments to the nearest U.S.$1,000. If application of proration resulted in either (i) the relevant Holder transferring 6.625% Notes due 2033 to the Government in a principal amount of less than the applicable Minimum Denomination or (ii) 6.625% Notes due 2033 in a principal amount of less than the applicable Minimum Denomination being returned to a Holder, the Government, in its sole and absolute discretion, accepted all of such Holder's validly tendered 6.625% Notes due 2033.
