Item 1.02 Termination of a Material Definitive
Agreement.
As previously disclosed in the Current Report
on Form 8-K filed by Firefly Neuroscience, Inc. (the “Company”) on May 12, 2026, the Company entered into a securities purchase
agreement (the “Purchase Agreement”) with an accredited investor (the “Investor”), dated May 6, 2026, pursuant
to which the Company agreed to issue and sell to the Investor up to 666,667 units, at a purchase price of $1.50 per Unit, for aggregate
gross proceeds of up to $1,000,000.
On June 25, 2026, the Company and the Investor
mutually agreed in writing to terminate the Purchase Agreement, pursuant to Section 5.3 thereof, with such termination effective as of June
25, 2026.
