Explanatory Note
This Current Report on Form 8-K/A amends Item 5.02 of the Current Report on Form 8-K (the “Original Report”) filed by Playtika Holding Corp. (the “Company”) with the Securities and Exchange Commission (the “SEC”) on March 10, 2026. Except for the additional information described below, nothing disclosed in the Original 8-K has changed.
Item 5.02 Departure of Directors or Certain Officers, Election of Directors, Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously disclosed, effective April 1, 2026, the board of directors of the Company (the “Board”) appointed Tae Lee to serve as the Company’s acting Chief Financial Officer and principal financial officer. At the time of the Original Report, Mr. Lee’s compensatory arrangements as the Company’s acting Chief Financial Officer had not been determined.
On March 25, 2026, the Compensation Committee of the Board approved Mr. Lee’s new compensatory arrangements. Effective April 1, 2026. Mr. Lee’s new annual base salary will be $600,000 and his new target bonus opportunity under the Company’s annual cash bonus program will be $600,000.
