Item 3.01. Notice of Non-Compliance with Listing
Standards.
On May 6, 2026, Maison Solutions Inc. (the “Company”)
received a written notice (the “Notice”) from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”)
indicating that the Company is not in compliance with Nasdaq Listing Rule 5620(a) because it did not hold an annual meeting of stockholders
within one year of the end of its fiscal year ended April 30, 2026.
As provided in Nasdaq Listing Rule 5810(c)(2)(G),
the Company has 45 calendar days from the date of the Notice to submit a plan to regain compliance. If Nasdaq accepts the plan, it may
grant an extension of time for the Company to regain compliance, which may be up to 180 days from the end of the Company’s fiscal
year.
This Current Report on Form 8-K is being filed
in accordance with Nasdaq Listing Rule 5810(b), which requires prompt public disclosure upon receipt of such a notice.
The Company intends to submit a compliance plan
within the required timeframe and to take all reasonable steps to regain compliance, which would include holding its annual meeting as
soon as practicable.
