The following matters were voted upon at the Company’s annual meeting of shareholders

held on August 20, 2026:

1. The shareholders elected, by a plurality of the votes cast, three nominees to the Board of Directors to serve until the Annual Meeting

of Shareholders in 2028 and until their successors are duly elected and qualified.
