Non-GAAP

Financial Measures and Reconciliation

We use certain financial measures internally to evaluate our performance and

make financial and operational decisions that are presented in a manner that adjusts from their equivalent GAAP measures or that supplement

the information provided by our GAAP measures. We use these adjusted results because we believe they more clearly highlight trends in

our business that may not otherwise be apparent when relying solely on GAAP financial measures, since these measures eliminate from our

results specific financial items that have less bearing on our core operating performance. We use these measures in communicating certain

aspects of our results and performance, including in our Quarterly Report on Form 10-Q, and believe that these measures, when viewed in

conjunction with our GAAP results and the accompanying reconciliation, can provide investors with greater transparency and a greater understanding

of factors affecting our financial condition and results of operations than GAAP measures alone. In addition, we believe the presentation

of these measures is useful to investors for making period-to-period comparisons of results because the adjustments to GAAP are not reflective

of our core business performance. These financial measures are not presented in accordance with, or as an alternative to, GAAP financial

measures and may be different from non-GAAP measures used by other companies. We encourage investors to review the GAAP financial measures

included in our Quarterly Report on Form10-Q, including our consolidated financial statements, to aid in their analysis and understanding

of our performance and in making comparisons. The tables below outline our adjusted operating expenses, adjusted operating income, adjusted

operating margin, adjusted net income attributable to ICE, and adjusted diluted earnings per share attributable to ICE common stockholders,

which are non-GAAP measures that are calculated by making adjustments for items we view as not reflective of our cash operations or core

business performance.

Non-GAAP Liquidity Measures and Reconciliation

We consider free cash flow and adjusted free cash flow to be non-GAAP

liquidity measures that provide useful information to management and investors to analyze cash resources generated from our operations.

We believe that free cash flow and adjusted free cash flow are useful as the bases for comparing our performance to that of our competitors

and demonstrates our ability to convert the reinvestment of capital expenditures and capitalized software development costs required to

maintain and grow our business, as well as adjust for timing differences related to the payment of Section 31 fees. These non-GAAP liquidity

measures are not presented in accordance with, or as an alternative to, GAAP liquidity measures and may be different from non-GAAP measures

used by other companies. The table below presents free cash flow and adjusted free cash flow, including the related adjustments.
