Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 11, 2026 and May 13, 2026, Susan D. Lynch and Richard R. Lury, respectively, each notified the Board of Directors (the “Board”) of Allegro MicroSystems, Inc. (the “Company”) of their decision to not stand for reelection as a Class III member of the Board at the Company’s 2026 Annual Meeting of Stockholders to be held on August 5, 2026 (the “Annual Meeting”). Each of Mr. Lury’s and Ms. Lynch’s service as a member of the Board shall terminate effective immediately prior to the Annual Meeting. Neither Mr. Lury’s nor Ms. Lynch’s decision to not stand for reelection is the result of any disagreement between such director and the Company or its management on any matter relating to the Company’s operations, policies or practices.

On May 13, 2026, at the recommendation of the Board’s Nominating and Governance Committee and in accordance with the Second Amended and Restated Stockholders Agreement, dated as of July 29, 2024, by and among the Company, and Sanken Electric Co., Ltd., the Board took the following actions, each of which was effective May 13, 2026: (i) expanded the size of the Board to ten, (ii) elected Robert J. Willett to the Board as a Class III Director, to serve until the Annual Meeting and until his successor is duly elected and qualified, and (iii) appointed Mr. Willett to serve on the Board’s Audit Committee and Compensation Committee.

The Board has determined that Mr. Willett qualifies as an independent director pursuant to the rules of The Nasdaq Stock Market. The Board has also determined that Mr. Willett meets the enhanced independence requirements for audit committee members under Rule 10A-3 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and the rules of The Nasdaq Stock Market, and that Mr. Willett qualifies as an “audit committee financial expert” as defined by the applicable Securities and Exchange Commission (“SEC”) regulations. The Board has further determined that Mr. Willett meets the enhanced independence requirements for compensation committee members under the rules of The Nasdaq Stock Market.

In connection with his election, the Company entered into an indemnification agreement with Mr. Willett providing for the indemnification of and advancement of expenses permitted by Delaware law for claims, suits or proceedings arising out of a director’s service to the Company.

Mr. Willett will receive the same fees for his service on the Board and its committees as the Company’s other non-employee directors, in accordance with the Company’s director compensation program. The Company’s current director compensation program was filed as an exhibit to the Company’s Quarterly Report on Form 10-Q filed with the SEC on January 30, 2026. Annual cash compensation and restricted stock awards will be pro-rated from the date of Mr. Willett’s election to the Board.

Allegro MicroSystems Appoints Robert Willett to its Board of Directors

Manchester, N.H., May 13, 2026 – Allegro MicroSystems, Inc. (Nasdaq: ALGM) today announced the appointment of Robert J. Willett to Allegro’s Board of Directors (“Board”) as an independent director. Mr. Willett’s appointment is effective on May 13, 2026.

With a distinguished career spanning over two decades in industrial technology and automation, Mr. Willett brings deep operational expertise to the Allegro Board. Most notably, he spent 14 years as Chief Executive Officer of Cognex Corporation, a global leader in machine vision systems and sensors. During his tenure, he successfully scaled the business, drove sustained organic growth, and navigated complex global operations.

“Rob is a great addition to our Board, particularly given his deep roots in the sensor and industrial automation spaces,” said Joseph Martin, Chairman of the Board. “He has a proven track record of successfully guiding technology companies through periods of rapid expansion and market shifts.
