On July 27, 2026, Parth Jani notified Virtuix
Holdings Inc. (the “Company”) that he will not be available to stand for re-election to the Company’s Board of Directors
at its 2026 Annual Meeting of Stockholders (the “Annual Meeting”) and that he will continue to serve as a director until
the expiration of his term at the Annual Meeting. Mr. Jani’s decision not to stand for re-election was not due to any disagreement
with the Company regarding any matter relating to the operations, policies, or practices of the Company.
