Submission of Matters to a Vote of Security Holders.

ATI Inc. (the “Company”) held its 2026 Annual Meeting of Stockholders (the “Annual Meeting”) on May 14, 2026. As of the record date for the Annual Meeting, 136,462,390 shares of the Company’s common stock were issued and outstanding. As disclosed in the Company’s proxy materials for the Annual Meeting, the following proposals were considered and voted upon at the Annual Meeting: (1) the election of three directors for three-year terms expiring in 2029; (2) an advisory vote regarding the compensation paid to the Company’s named executive officers in 2025; and (3) ratification of the appointment of Ernst & Young LLP as independent auditors for the Company’s 2026 fiscal year.
