Item

8.01. Other Events

On

October 26, 2026, Healthcare Triangle, Inc. (the “Company”) effected a one-for-twenty (1:20) reverse stock split of all issued

and outstanding shares of the Company’s common stock, par value $0.00001 per share (the “Common Stock”) effective as

of 12:01 a.m. Eastern Time on October 26, 2026 (the “Reverse Stock Split”), vide a Certificate of Amendment to the

Amended Certificate of Incorporation of Healthcare Triangle, Inc. (the “Certificate of Amendment”) filed with the Secretary

of State of the State of Delaware, and deemed effective on October 26, 2026 at 12:01 a.m. Eastern Time. The Reverse Stock Split was intended

to bring the Company into compliance with the $1.00 minimum bid price requirement for continued listing on the Nasdaq Capital Market,

as required by Nasdaq Listing Rule 5550(a)(2).

As previously disclosed in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on October 2, 2026,

on October 1, 2026, the Company received a Staff Delisting Determination from the Listing Qualifications Department of The Nasdaq Stock

Market LLC (“Nasdaq”). On October 8, 2026, the Company timely requested a hearing before a Nasdaq Hearings Panel (the “Panel”) to appeal

the Staff Delisting Determination, which request stayed the suspension of trading of the Company’s securities and the filing of a Form

25-NSE pending the Panel’s decision. The hearing is scheduled for November 5, 2026. The Reverse Stock Split is part of the Company’s plan

to regain compliance with Nasdaq’s continued listing requirements, which the Company intends to present to the Panel. There can be no

assurance that the Panel will grant the Company’s request for continued listing or that the Company will be able to regain or maintain

compliance with Nasdaq’s continued listing requirements.

As

a result of the Reverse Stock Split, every twenty (20) shares of issued and outstanding Common Stock combined into one (1) validly issued,

fully paid and nonassessable share of Common Stock. The Reverse Stock Split uniformly affected all issued and outstanding shares of Common

Stock and did not alter any stockholder’s percentage ownership interest in the Company, except to the extent that the Reverse Stock

Split resulted in fractional interests. No fractional shares were issued in connection with the Reverse Stock Split. Stockholders who

otherwise were entitled to receive fractional shares of Common Stock were automatically entitled to receive an additional fraction of

a share of Common Stock to round up to the next whole share, at a participant level. Proportional adjustments have also been made to

the Company’s outstanding warrants, stock options, and convertible securities, in each case, in accordance with the terms thereof.

The

Reverse Stock Split reduced the number of shares of Common Stock issued and outstanding from 17,730,008 to 886,587

shares of Common Stock. The number of authorized shares of Common Stock did not change by the Reverse Stock Split.

The

Company’s transfer agent, VStock Transfer, LLC, acted as the exchange agent for the Reverse Stock Split. Stockholders who hold their

shares in brokerage accounts or “street name” are not required to take any action to effect the exchange of their shares.

The

Common Stock started trading on a split-adjusted basis on the Nasdaq Capital Market at the market open on October 26, 2026. The trading

symbol for the Common Stock remains “HCTI.” Following the Reverse Stock Split, the CUSIP for the Company’s Common Stock

is 42227W 504.

The

description of the Certificate of Amendment is qualified in its entirety by reference to the text of the Certificate of Amendment, which

is filed as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.

On

October 21, 2026, the Company issued a press release announcing the Reverse Stock Split. The full text of the Company’s press release

issued in connection with the foregoing matter is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein

CERTIFICATE

OF AMENDMENT TO THE

AMENDED CERTIFICATE OF INCORPORATION

OF

HEALTHCARE TRIANGLE, INC.

a Delaware Corporation

Healthcare

Triangle, Inc. (the “Corporation”), a corporation organized and existing under and by virtue of the General Corporation

Law of the State of Delaware (the “DGCL”), does hereby certify:

1. Pursuant

to Section 242 of the DGCL, this Certificate of Amendment to the Amended Certificate of Incorporation

(this “Certificate of Amendment”) amends the provisions of the Amended

Certificate of Incorporation of the Corporation, as amended (the “Charter”).

2. This

Certificate of Amendment has been approved and duly adopted by the Corporation’s Board

of Directors and stockholders in accordance with the provisions of Section 242 of the DGCL.

3. Upon

this Certificate of Amendment becoming effective, the Charter is hereby amended as follows:

ARTICLE

IV of the Charter is hereby amended by adding the following new paragraph at the end of such article:

“Effective

at 12:01 a.m., Eastern Time, on October 26, 2026 (the “2026 Split Effective Time”), every twenty (20) shares of common

stock issued and outstanding or held by the Corporation as treasury shares as of the 2026 Split Effective Time shall automatically, and

without action on the part of the stockholders, be combined, reclassified and changed into one (1) validly issued, fully paid and non-assessable

share of common stock, without effecting a change to the par value per share of common stock, subject to the treatment of fractional

interests as described below (the “2026 Reverse Split”). Notwithstanding the immediately preceding sentence, no fractional

shares will be issued in connection with the combination effected by the preceding sentence. No fractional shares shall be issued in

connection with the 2026 Reverse Split. Instead, holders who would be entitled to receive fractional shares of Common Stock because they

hold a number of shares not evenly divisible by the 2026 Reverse Split ratio will be issued an additional fractional share of Common

Stock to round up to the next whole post-Reverse Stock Split share of Common Stock. For those stockholders who hold shares with a brokerage

firm, the Corporation intends to round up fractional shares at the participant level. No cash will be paid in lieu of fractional shares.

As of the 2026 Split Effective Time and thereafter, a certificate(s) representing shares of common stock prior to the 2026 Reverse Split

is deemed to represent the number of post-2026 Reverse Split shares into which the pre-2026 Reverse Split shares were reclassified and

combined. The 2026 Reverse Split shall also apply to any outstanding securities or rights convertible into, or exchangeable or exercisable

for, common stock of the Corporation and all references to such common stock in agreements, arrangements, documents and plans relating

thereto or any option or right to purchase or acquire shares of common stock shall be deemed to be references to the common stock or

options or rights to purchase or acquire shares of common stock, as the case may be, after giving effect to the 2026 Reverse Split; provided,

however, that the foregoing shall not apply to the number of shares of common stock available for future awards under the Corporation’s

2020 Stock Incentive Plan, as amended, which shall not be adjusted in connection with the 2026 Reverse Split.”

4. This

Certificate of Amendment shall become effective at 12:01 a.m., Eastern Time, on October 26,

2026.

PLEASANTON,

Calif., Oct. 21, 2026 /PRNewswire/ -- Healthcare Triangle, Inc. (Nasdaq: HCTI) (“HCTI” or the “Company”),

a leader in digital transformation solutions including managed services, cloud enablement, and data analytics for the healthcare and

life sciences industries, today announced that it will effect a 1-for-20 reverse stock split of its common stock. The reverse stock split

will become effective at 12:01 a.m. Eastern Time on Monday, October 26, 2026, and the Company’s common stock will commence trading on

the Nasdaq Capital Market on a post-split basis at the opening of the market on October 26, 2026, pending confirmation by the Depository

trading symbol, “HCTI,” and a new CUSIP number 42227W 504 has been assigned as a result of the reverse stock split.

At

the effective time of the reverse stock split, each twenty (20) shares of the Company’s issued and outstanding common stock will be automatically

17,730,008 shares to approximately 886,501 shares. No fractional shares of common stock will be issued in connection with the reverse

stock split, and stockholders who would otherwise be issued an additional fraction share of common stock to round up to the next whole

post-reverse stock split share of Common Stock

split from the Company’s transfer agent, VStock Transfer, LLC. VStock Transfer can be reached at (212) 828 8436. Additional information
