Item 8.01

Other Events.

As previously announced, on June 25, 2026, ON Semiconductor Corporation (“onsemi”) entered into an Agreement and Plan of Reorganization (the “Merger

Agreement”) with Sonic Acquisition Corp., a Delaware corporation and wholly owned subsidiary of onsemi (“Merger Sub”), and Synaptics Incorporated, a Delaware corporation (“Synaptics”). Pursuant to the Merger Agreement, and subject to the satisfaction or waiver of the conditions specified therein, Merger Sub will merge with and into Synaptics (the “Merger”), with Synaptics surviving the Merger as a wholly owned subsidiary of onsemi.

The closing of the Merger is subject to customary closing conditions, including, among others, the expiration or early termination of the applicable

waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”). The parties’ HSR notifications were filed on July 17, 2026. On August 12, 2026,

the Federal Trade Commission (the “FTC”) granted early termination of the waiting period under the HSR Act with respect to the Merger. The closing of the Merger remains subject to the

satisfaction or waiver of the remaining closing conditions set forth in the Merger Agreement, including receipt of the required approval of Synaptics stockholders and certain other regulatory approvals or clearances. The parties continue to expect

the Merger to close in mid-2027, subject to the satisfaction or waiver of such other closing conditions.
