3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

April 7, 2026 Callan JMB Inc. (the “Company”) received a deficiency letter (the “Notice”) from the Listing

Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it is not in compliance

with Nasdaq Listing Rule 5550(b)(1) which requires the Company to maintain a minimum of $2,500,000 in stockholders’ equity for

continued listing on The Nasdaq Capital Market (the “Stockholders’ Equity Requirement”).

accordance with Nasdaq Listing Rules, the Company has been provided an initial period of 45 calendar days, or until May 22, 2026, to

submit a plan to regain compliance with the Stockholders’ Equity Requirement. Subsequent to the receipt of the Notice, and prior

to that deadline, the Company intends to submit a plan to regain compliance with the Stockholders’ Equity Requirement to Nasdaq.

If the Company’s compliance plan is accepted by Nasdaq, then Nasdaq may, in its discretion, grant the Company up to 180 calendar

days from the date of the Notice, or until October 4, 2026, to evidence compliance.

Neither

the Notice nor the Company’s non-compliance have an immediate effect on the listing or trading of the Company’s common stock,

which will continue to trade under the symbol “CJMB.” However, these can be no assurance that the Company’s plan will

be accepted or that if it is, the Company will be able to regain compliance.
