On June 29, 2026, Borealis

Foods Inc. (the “Company”) held its 2026 annual meeting of shareholders (the “Annual Meeting”). A

total of 12,845,650 shares, or 59.8% of the Company’s outstanding shares of common stock as of the record date for the Annual Meeting,

were represented in person through virtual attendance or by proxy at the Annual Meeting constituting a quorum.
