Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On

April 16, 2026, Spyros Papapetropoulos informed the Board of Directors (the “Board”) of Lipocine Inc. (the “Company”)

that he resigned as a member of the Board effective immediately. Dr. Papapetropoulos has served as a member of the Board since 2022 and

was the Board’s Chairman and Lead Independent Director and a member of the Board’s compensation committee. On April 20, 2026,

the Board appointed R. Dana Ono as Chairman of the Board and Lead Independent Director.

Dr.

Papapetropoulos resigned due to competing professional commitments and evolving board dynamics arising from differing views on the Company’s

strategic direction.
